These Terms and Conditions ("Terms") govern your access to and use of store.pointofcode.com and any software products purchased from Point of Code ("we," "us," "our," "Licensor"). By purchasing or using our products, you ("Customer," "Licensee") agree to be bound by these Terms.
1. License Grant
Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to install and use the purchased software product, subject to the following:
- Each license is valid for use on one production domain/store instance, as specified at the time of purchase, unless otherwise stated on the product page
- Licenses are activated and validated electronically; license keys are tied to the domain provided at activation
- You may use the product on a staging or development environment for testing purposes, in addition to your licensed production domain
- A separate license must be purchased for each additional domain or installation
- This license grants the right to use the software — it does not transfer ownership, source code rights, or intellectual property to you
2. Restrictions
You agree not to:
- Resell, sublicense, rent, lease, or distribute the product, its source code, or your license key to any third party
- Publish, upload, or store the product's source code in any publicly accessible repository or source control system; private/paid repositories accessible only to your own team are permitted
- Remove, alter, or obscure any copyright, licensing, or attribution notices embedded in the product
- Reverse-engineer, decompile, or attempt to bypass license validation mechanisms
- Engage third parties to perform development work using the product's source code on your behalf in a way that discloses the source code to that third party beyond what is reasonably necessary for implementation on your own licensed domain
3. Derivative Works and Modifications
You may modify or extend the product for your own use on your licensed domain. However, all underlying source code, structure, and architecture of the original product remain our intellectual property. Modifications you make do not grant you any ownership claim over the original product, and we retain the right to protect our intellectual property in the original codebase regardless of any modifications made by you.
4. License Validation
Our products may periodically validate your license against our licensing servers to confirm authenticity and domain match. Products may become inactive if the license cannot be validated, including in cases of expired, revoked, or domain-mismatched licenses. This validation exists to protect against unauthorized use and does not affect your data or store operations beyond the licensed product's own functionality.
5. Ownership and Intellectual Property
All products, source code, documentation, branding, and related materials remain the intellectual property of Point of Code. We are the exclusive owner of all copyright and intellectual property in our products, free of any liens, claims, or encumbrances, and our grant of license to you does not infringe any third party's rights.
6. Payments
All prices are listed in US Dollars (USD) and are payable in full at the time of purchase unless otherwise specified. Payments are processed securely through our third-party payment provider, Paymob. We reserve the right to change prices at any time; changes will not affect products already purchased.
7. Support and Updates
Support terms (including duration and scope) are specified on each product's page at the time of purchase. Unless otherwise stated:
- Support covers issues related to the product's advertised functionality
- Support does not cover custom development, third-party conflicts, or general server/platform configuration issues
- Product updates, when available, are provided at our discretion to active license holders
8. Refunds and Cancellations
Refunds and cancellations are governed exclusively by our Refund & Cancellation Policy, which forms part of these Terms and takes precedence over any conflicting statement elsewhere.
9. Warranties
We warrant that, at the time of purchase, the product will function materially as described in our published documentation and demonstrations. Except as expressly stated, our products are provided "as is" without warranties of any kind, express or implied.
10. Limitation of Liability
To the fullest extent permitted by law, Point of Code shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business, arising from the use or inability to use our products. Our total liability for any claim shall not exceed the amount paid by you for the specific product giving rise to the claim.
11. Indemnification
You agree to indemnify and hold us harmless against any claim, loss, or liability arising from your breach of these Terms, unauthorized use or distribution of our products, or your violation of applicable law.
12. Term and Termination
This license remains in effect until terminated. We may terminate or suspend your license immediately if you violate these Terms, including unauthorized distribution, license circumvention, or fraudulent activity. You may terminate this license at any time by discontinuing use and removing the product from your systems. Termination does not entitle you to a refund except as provided under our Refund & Cancellation Policy. Sections 3, 5, 10, and 11 survive termination.
13. Acceptable Use
You agree not to use our products for any unlawful purpose, in violation of any applicable law, or in any way that could damage, disable, or impair our services or infrastructure.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of our products or Website after changes are posted constitutes acceptance of the updated Terms. Material changes will be reflected by updating the "Last updated" date above.
15. Governing Law
